IRVINE, Calif., May 29 /PRNewswire-FirstCall/ -- Impac Mortgage Holdings,
Inc. (Pink Sheets: IMPM), or the "Company," a Maryland corporation, announced
today that it is commencing an offer to purchase all outstanding shares of its
9.375% Series B Cumulative Redeemable Preferred Stock (Pink Sheets: IMPHP) and
9.125% Series C Cumulative Redeemable Preferred Stock (Pink Sheets: IMPHO)
(the "Offer to Purchase"). In connection with the Offer to Purchase, the
Company is also soliciting consents from holders of each series of preferred
stock to amend the company's Charter to modify the terms of such series of
preferred stock (the "Consent Solicitation"). Holders may not tender their
shares of preferred stock in the Offer to Purchase and Consent Solicitation
without consenting to each of the applicable proposed Charter amendments.
The Company is offering $0.29297 in cash for each share of Series B
Preferred Stock and $0.28516 in cash for each share of Series C Preferred
Stock validly tendered in the Offer to Purchase and Consent Solicitation. The
Offer to Purchase and Consent Solicitation is being commenced today, Friday,
May 29, 2009, and will expire at 9 a.m., Eastern time, on June 26, 2009,
unless extended or terminated by the Company. There are a number of conditions
to the Company's obligation to accept the shares of preferred stock tendered
and consents delivered and to pay the consideration offered, including that it
receive valid tenders for at least 66 2/3% of the aggregate liquidation
preference of each series of the Company's outstanding Series B and C
Preferred Stock, a majority of the outstanding shares of common stock approve
the proposed Charter amendments, and the Company satisfies the distribution
requirements under Maryland law at the time of closing. If the Offer to
Purchase and Consent Solicitation is successfully completed, the Company will
also contemporaneously pay all accumulated and unpaid dividends on the
Preferred Stock, which are $1.17 per share of Series B Preferred Stock and
$1.14 per share of Series C Preferred Stock. The terms of the Offer to
